("Rocky Shore" or the "Company") (CSE:RSG) is pleased to announce that it has closed the first tranche (the "First Tranche") of the non-brokered private placement (the "Offering") previously announced on September 17, 2026. Under the First Tranche, the Company raised aggregate gross proceeds of C$3,227,450.10 through the issuance of 21,516,334 common shares of the Company (the "Common Shares") that qualify as "flow-through shares" (as defined in subsection 66(15) of the Income Tax Act (Canada)) (the "FT Shares"), at an issue price of C$0.15 per FT Share.
